1. About these terms

These Terms of Service ("Terms") govern the use of the Ol3n school management platform ("Ol3n", "the platform", "we", "us"), which is developed and operated by Obuaba Ltd, a company registered in Ghana. By onboarding a school onto Ol3n, or by using the platform as a member of staff, a parent or a student of an onboarded school, you agree to these Terms.

2. The service

Ol3n provides a connected set of modules for running a school, which may include administration, admissions, attendance, fees and payments, assessment and report cards, lesson planning and supervision, finance, communication, a parent portal and a public school website. The specific modules available to a school are those activated for that school by Obuaba Ltd.

We host the platform, keep it secure, take regular encrypted backups and provide updates. A school needs only an internet connection and supported devices to use it.

3. Fees and the student platform fee

The school pays no licence fee, no per-user charge and no charge for infrastructure.

The platform is funded by a per-student platform fee charged each academic term or semester. The amount is agreed in writing with the school before the school goes live. It appears as a distinct line on the school-fee invoice issued to parents and is collected by the school alongside normal school fees. The school remits the platform-fee portion to Obuaba Ltd on the schedule agreed between the parties.

For schools whose tuition is funded by government, the platform remains free to the school and only the per-student platform fee is billed to parents.

4. School responsibilities

The school is the controller of the personal data it enters into Ol3n about its students, guardians and staff. The school is responsible for: - obtaining any consent required under Ghanaian law to process that data; - keeping account credentials secure and managing which of its staff have access to which modules; - the accuracy of the records it enters, including fees, results and attendance; - communicating lawfully and appropriately with parents and students through the platform.

5. Acceptable use

You must not misuse the platform. In particular you must not attempt to access data belonging to another school, probe or breach security controls, upload malicious code, use the platform to send unlawful or harassing messages, or resell access to the platform without our written agreement.

6. Availability and support

We aim to keep Ol3n available at all times and to resolve issues promptly, but we do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where practical. Support is provided to the school’s designated administrators.

7. Data, export and termination

The school’s data belongs to the school. On request, and on termination, we will provide an export of the school’s data in a common format and then delete it from active systems within a reasonable period, subject to backup retention cycles and any legal retention obligations.

Either party may end the arrangement on written notice. Outstanding platform fees for terms already served remain payable.

8. Liability

To the fullest extent permitted by law, our total liability arising out of or in connection with the platform is limited to the platform fees received by us in respect of the school in the twelve months before the event giving rise to the claim. We are not liable for indirect or consequential loss. Nothing in these Terms limits liability that cannot be limited by law.

9. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated to onboarded schools. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have exclusive jurisdiction over any dispute arising from them.
